1. About ZH Digital
ZH Digital is a Barbados-based digital business and technology service. We build and support websites, booking and business systems, automation, digital documents, Client Portal workflows, social and related digital services. Questions about these Terms can be sent to info@zhdigital.net.
2. Using this website
You may use the public website for legitimate business information, enquiries and service requests. You must not misuse the site, attempt unauthorised access, interfere with security or availability, submit malicious code, impersonate another person or business, or use our forms or systems for unlawful, abusive or deceptive activity.
We may restrict or block access where reasonably necessary to protect ZH Digital, our clients, other users or the security of the service.
3. Enquiries do not automatically create a client engagement
Submitting a contact form, requesting a PreviewByZH concept, receiving an estimate, attending discovery or exchanging preliminary messages does not by itself require ZH Digital to accept a project. A project normally becomes an active commercial engagement when the applicable proposal or agreement is accepted and any required initial payment or other commencement condition has been satisfied.
4. Proposals, electronic acceptance and project-specific terms
Proposals may define scope, deliverables, exclusions, pricing, currencies, taxes or levies, payment milestones, revision allowances, timelines, responsibilities, support and ownership terms. Those project-specific terms take priority if they conflict with these general Terms.
Where ZH Digital provides an electronic acceptance workflow, an electronic approval or other agreed electronic record may form part of the parties’ agreement. The Barbados Electronic Transactions Act, Cap. 308B recognises that information is not denied legal effect solely because it is in electronic form, subject to the applicable statutory rules and exceptions.
5. PreviewByZH
PreviewByZH is a private, human-reviewed concept service intended to help a business understand a possible digital direction before committing to a full build. A PreviewByZH concept is illustrative and exploratory unless a later proposal expressly adopts part of it as a project deliverable.
Submitting a PreviewByZH request does not guarantee that ZH Digital will accept or produce a preview. We may approve, request more information, defer or decline a request. You must be authorised to request work for the business and to provide any logos, images, brand assets, website references or other materials you submit.
6. AI-assisted and automated tools
ZH Digital may use AI-assisted tools and internal automation in research, drafting, design exploration, development, quality assurance and operational workflows. These tools support rather than replace human responsibility for the service. AI-assisted material may contain errors or require refinement, and ZH Digital reviews client-facing work as appropriate before relying on it as a final deliverable.
7. Client Portal and account security
Client Portal access is invitation-only and intended for authorised users of the relevant client organisation. You are responsible for keeping your login credentials, verification methods and devices secure and for notifying us promptly if you suspect unauthorised access.
Portal features may include proposals, approvals, project information, documents, invoices, payments, service requests and account-management controls. Actions taken through an authenticated account may be recorded in the project or audit history.
8. Client content and permissions
You retain ownership of content, business information, branding and materials that you provide to ZH Digital, subject to any third-party rights. You grant us the permission reasonably necessary to host, copy, transform, transmit and otherwise use those materials to evaluate the request, perform the agreed services, maintain backups and provide support.
You are responsible for ensuring that you have the rights and permissions needed for material you supply and that your instructions do not require us to infringe another person’s intellectual-property, privacy or other rights.
9. ZH Digital technology and project intellectual property
Unless an accepted proposal says otherwise, ZH Digital retains ownership of its pre-existing materials, reusable code, libraries, templates, methods, internal tools, platform technology and general know-how. Client-specific ownership, licences and final deliverables are governed by the accepted proposal or agreement.
Where a proposal states that final files, source assets or ownership transfer are released only after full payment, the applicable release or transfer occurs only after the stated payment requirement has been satisfied.
10. Fees, invoices, taxes and payments
Prices, currencies, deposits, milestones, taxes or levies and payment dates are stated in the applicable proposal or invoice. Unless otherwise agreed, clients are responsible for paying valid invoices by the stated due date and for providing accurate billing information.
When online payment processing is enabled, payment transactions may be handled by an independent payment provider under that provider’s own terms and privacy practices. ZH Digital does not intend to store full card credentials directly.
11. Cancellations, refunds and scope changes
Cancellation, refund, pause and scope-change rights depend on the applicable proposal, service type, work already completed, committed third-party costs and any mandatory rights that cannot lawfully be excluded. If a project needs to change direction, both parties should document the change in scope, price, timing or responsibilities before additional work proceeds.
12. Third-party services
Projects may rely on hosting companies, domain registrars, email providers, payment processors, social platforms, analytics providers, AI services, APIs or other third-party products. Those services may have their own terms, pricing, availability and policies. ZH Digital is not able to guarantee the continued operation or unchanged pricing of a third-party service that we do not control.
13. Delivery, support and availability
We aim to provide services with reasonable care and communicate clearly about delivery. Specific timelines, maintenance obligations, response priorities, uptime commitments or support windows apply only where they are stated in an accepted proposal, support plan or other written agreement.
Websites, software, hosting, internet connectivity and third-party platforms can experience interruptions or defects. We do not promise that every service will be uninterrupted or error-free, but we will use the agreed support process to address issues within the applicable scope.
14. Security and responsible use
ZH Digital uses security controls appropriate to the service, but clients and authorised users also have responsibilities. You must use reasonable account security, avoid sharing credentials improperly, follow security instructions, and notify us promptly about suspected compromise or harmful activity.
15. Privacy
Our handling of personal information for ZH Digital’s own website and services is described in our Privacy Policy. Where we process data on behalf of a client, additional project or data-processing terms may apply.
16. Suspension or termination
Subject to the applicable client agreement and mandatory law, ZH Digital may suspend access or work where reasonably necessary because of serious security risk, unlawful or abusive use, material breach, or overdue payment that affects the agreed service. Where practical, we will communicate the issue and any available remedy before or promptly after taking action.
17. Responsibility and limits
Each party remains responsible for its own acts, instructions and obligations. Project-specific warranties, remedies and liability limits should be set out in the accepted proposal or agreement. Nothing in these Terms excludes or restricts rights, remedies or liability that cannot lawfully be excluded or restricted.
18. Changes to these Terms
We may update these Terms as our services, technology or legal requirements change. The current version will be posted here with its updated date. Changes do not silently rewrite an already accepted project agreement; changes to an active client engagement should follow that agreement’s change process or be agreed separately.
19. Governing law
Unless a project-specific agreement states otherwise, these Terms are governed by the laws of Barbados, subject to any mandatory consumer, privacy or other rights that apply regardless of that choice. Disputes should first be raised with ZH Digital so the parties can try to resolve them directly before formal proceedings are considered.
